1. About these terms
These Terms and Conditions ("Terms") apply when you use this website or hire Xerot Technologies Uganda ("Xerot Technologies", "we", "us" or "our"), a software development business operating in Kampala, Uganda as a sole proprietorship. By using this website or paying for our services, you agree to these Terms.
If a written quote or project agreement signed with you says something different from these Terms, the quote or agreement applies for that project.
2. Our services
We provide software development services, including:
- websites for businesses;
- web applications and business management systems (for example HR, hospital and property systems);
- mobile apps for Android and iOS;
- mobile money and card payment integration;
- UI/UX design; and
- maintenance, hosting setup and support.
Our work is delivered digitally, for example as a live website, a deployed system, an app published to an app store, or source code and files handed over to you.
3. Quotes and agreements
- Every project starts with a written quote that sets out the scope of work, price, timeline and payment milestones.
- Prices shown on this website are starting prices. The final price is the one in your written quote.
- A quote is valid for 30 days unless it says otherwise.
- Work begins once you accept the quote and pay any deposit it requires.
- Changes or new features outside the agreed scope are quoted separately before we do them.
4. Prices and payments
- All prices are in Uganda Shillings (UGX) unless your quote says otherwise.
- You pay according to the milestones in your quote, using the payment methods listed on your quote or invoice, which may include mobile money, bank transfer or card.
- Card and mobile money payments are processed by licensed payment providers. We never see or store your card number, card security code or mobile money PIN.
- We may pause work if an invoice is more than 14 days overdue. We will tell you in writing before doing so.
- Refunds and cancellations are covered in our Refund & Cancellation Policy.
5. Your responsibilities
- Give us accurate information, content (text, images, logos) and feedback in good time. Delays in providing these may delay the project.
- Make sure you have the right to use any content, images, logos or data you give us.
- Make sure the software is used lawfully, including following Uganda's data protection laws for any personal data your system stores.
- Keep your account passwords, hosting logins and admin access safe once we hand them over.
6. Ownership and licensing
- Once all payments for a project are complete, you own the custom designs and custom code we created specifically for your project, unless your agreement says otherwise.
- We may reuse our general tools, code libraries, templates and know-how that are not specific to your project.
- Open-source software and third-party components used in your project remain under their own licences.
- The Xerot Technologies name, logo and the design of this website belong to us and may not be copied without our written permission.
- With your permission, we may show your project in our portfolio. We never show real personal data, such as patient or staff records.
7. Support and warranty
- Each package includes a free support period stated in your quote. During this period we fix bugs in the work we delivered at no extra cost.
- After the free support period, support and changes are available through a maintenance plan or charged separately.
- Free support does not cover problems caused by changes made by other people, third-party services, hosting outages, or new features.
8. Third-party services
Many projects rely on services run by other companies, such as web hosting, domain names, app stores, email services, cloud storage and payment gateways. These services have their own terms, fees and availability. We are not responsible for their outages, price changes or decisions, such as an app store rejecting an app or a payment provider declining an application, but we will help you resolve these issues where we can.
9. Use of this website
You may use this website to learn about our services and contact us. You must not try to hack, overload or disrupt the website, send spam through the contact form, or copy its content or design for commercial use without our permission.
10. Liability
- We build software carefully and test it before delivery, but no software is completely free of errors. We will fix bugs in our work as described in section 7.
- To the extent allowed by law, our total liability for any claim related to a project is limited to the amount you paid us for that project.
- We are not liable for indirect losses, such as loss of profits, business or data, except where the law does not allow this to be excluded.
- You are responsible for keeping your own backups of important data unless backups are included in your maintenance plan.
- Nothing in these Terms limits any rights you have under Ugandan consumer protection law.
11. Cancellation and termination
You may cancel a project at any time by written notice (email is fine). What you pay or get back depends on how much work has been done, as explained in our Refund & Cancellation Policy. We may end a project if invoices remain unpaid after written reminders, or if we are asked to build something unlawful.
12. Governing law and disputes
These Terms are governed by the laws of the Republic of Uganda. If you have a complaint, please contact us first so we can try to resolve it together. If we cannot, the dispute will be handled by the courts of Uganda.
13. Changes to these terms
We may update these Terms from time to time. The date at the top of this page shows when they were last changed. Changes do not affect projects already agreed in a signed quote.
